Key Aspects of the Name Reservation Stage of Registration of Companies

The first step in the registration process is submitting names for reservation where a name search is conducted.

At this stage, you are required to come up with at least 3 the preferred name(s) in order of priority for registration and make an application to the Registrar of Companies to confirm if the proposed name or names are available for registration.

The suggested names must be in line with Section 57 of the Companies Act, 2015 , which provide that the Registrar shall not register a company that is the same as another name appearing in the index of company names.

The following key aspects must be considered at this stage;

1.     Where the proposed name(s) are similar to a registered existing business which is affiliated to the new entity, the Registrar will require the applicant to submit a letter of no objection signed by all directors approving reservation of the name for registration purposes;

2.    Where the names are similar to a registered existing business, the Registrar will require the applicant to submit new names; and

3.     The use of abbreviations/initials in business names is not allowed.
